A s s o c i a t i o n B y l a w s Article 1 – Name
and Purpose
Section 1: Name
This organization shall be known as the North Central
Heritage Neighborhood Association, Inc. (NCHNA).
Section 2: Description and Purpose The Association is a voluntary one, incorporated
under the laws of the State of Texas, and consisting of those households within
the boundaries established by the NCHNA. (See
attached map.) These boundaries
will comply with the designation in force adopted by the San Antonio District 9
Neighborhood Alliance. Article 2 – Membership
Section 1: Membership Membership in the Association is voluntary.
Each home address located within the boundaries established as set forth
in Article 1 shall be entitled to a single membership and shall be granted the
privileges of membership provided they have paid the current annual dues as
established by the Association. Dues
are non-refundable and payable annually. New
homeowners may pro-rate their dues per quarter, reducing by ¼ according to the
quarter during which they buy a home in the NCHNA boundaries.
Section 2: Voting Voting is a privilege of membership.
Each member may vote at official meetings of the Association.
ONE vote per home address may be cast by any adult living at that address
or by written and signed proxy held by a person in attendance.
Any action by the Association must be approved by a majority vote of
those members present at an official meeting.
The presiding officer will vote only in case of a tie. Article 3 – Officers
Section 1: Annual Election of
Officers Officers will be selected at any time in the last
quarter of the calendar year, to take office January 1st of the new
calendar year. Members shall elect
a President, Vice President, Secretary, and Treasurer. Such officers shall hold office through the calendar year OR
until their successors are elected. Section
2: President The President shall preside at all meetings, ensure
that resolutions of the membership are carried out; see that the books are
properly kept; appoint committee chairs; represent the Association; perform all
acts incident to the office of President.
Section 3: Vice President The Vice President shall be vested with the powers
and responsibilities of the President in the event of the President’s absence.
The Vice President shall cooperate with the President at all times.
Section 4: Secretary The Secretary shall give notice of all meetings or
events of the Association; record all proceedings of the meetings; maintain
files of all Association documents, including minutes; keep a current roster of
all members eligible to vote.
Section 5: Treasurer The Treasurer shall have custody of all funds and
other valuable documents of the Association; receive and give receipts for
monies paid to the Association; pay out of the funds on hand all just debts of
the Association; keep accurate records including receipts for all funds
collected and disbursed; sign all checks; notify the Secretary of valid
memberships; prepare and present to the membership an annual budget; give a
current financial report at all regular meetings.
Section 6: Resignations A resignation from office must be in writing and
shall take effect upon its receipt by the President or Secretary.
Section 7: Vacancies If any office becomes vacant, the other officers may
appoint a person to fill such vacancy for the unexpired term or until a
successor has been duly elected. Article 4 – Meetings
Section 1: Location of Meetings All
meetings of the members shall be held in the City of San Antonio, Texas, at such
place as shall be designated by the President.
Section 2: Definition of Meetings The
Association shall hold regular meetings as often as deemed necessary by its
members, but o less frequently than every six months. Special meetings may be called by the President or a majority
of the officers, when deemed necessary. All
members must be informed in writing or by telephone of the date, time, and
location meetings and of any significant business pending.
All official meetings of the Association require a quorum.
Section 3: Quorum All
eligible voting members who are present at a duly and properly publicized
meeting of the Association shall make up a quorum. Article 5 – Finances
Section 1: Income The
income of the Association shall derive from dues, donations, and other
revenue-producing activities as approved by the membership.
Section 2: Disbursement An
annual budget shall be presented by the Treasurer and voted on by the
membership. No debts in excess of
$100 may be incurred without prior consent of the membership at a duly called
meeting. All Association checks
require two authorized signatures; only the President, Vice President, and
Treasurer are authorized to sign. Article 6 – Amendments and Procedures
Section 1: Amendment The
bylaws may be amended, repealed, or suspended at any meeting of the Association
by a majority vote. Any such
changes shall not take effect until ratified at the next official meeting.
Section 2: Parliamentary
Authority The
rules contained in Roberts’ Rules of Order shall be the parliamentary
authority for all procedures not specifically covered by these bylaws. Article 7 – Dissolution
Section 1 – Requirements The
NCHNA may be dissolved by a three-fourths majority vote at an official meeting
of the Association.
Section 2 – Procedure In
case of dissolution, whatever funds remaining in the treasury shall be used to
satisfy any outstanding debts. The
balance shall be dispersed to an exempt organization under Sect. 501 c 3 under
the Internal Revenue Code of 1986. The
Board of Directors shall determine which organization will receive the funds. |
